Systems Limited Q3 2026 Results: Growth Outruns Margins

Systems Limited’s Q3 2026 revenue grew 29.5%, but margin compression left operating profit lower. Other income and a lighter levy supported PAT growth.

Systems Limited delivered a growth-led but margin-dilutive third quarter. Consolidated revenue for the three months ended September 30, 2026 rose 29.5% year on year to Rs26.78 billion, yet gross profit increased only 6.6% and operating profit fell 7.5%. Profit after tax still advanced 8.7% to Rs3.03 billion because other income recovered sharply and the levy burden eased. The result is therefore better at the bottom line than the core margin trend alone would suggest.

The central issue is operating leverage. Sales expanded strongly, helped by organic and inorganic growth, but the incremental revenue carried a lower margin. Consolidated gross margin fell to 24.76% from 30.09%, while operating margin declined to 11.94% from 16.72%. Management’s nine-month review attributes pressure in the parent company to offshore wage inflation, fuel inflation and adverse currency effects, while the filing also points to continuing Confiz integration and investment in growth. Those explanations are reported for the nine-month period; the filing does not quantify a Q3-only split among pricing, volumes, mix, acquisitions and costs.

Results at a glance

  • Reporting basis: unaudited consolidated results for Q3 and the nine months ended September 30, 2026, with the unconsolidated parent shown separately. Figures below are consolidated unless stated otherwise.
  • Q3 revenue: Rs26.78bn, up 29.5% from Rs20.68bn.
  • Q3 gross profit: Rs6.63bn, up 6.6%; gross margin 24.76% versus 30.09%, a 5.33 percentage-point contraction.
  • Q3 operating profit: Rs3.20bn, down 7.5%; operating margin 11.94% versus 16.72%.
  • Q3 profit before tax after levy: Rs3.23bn, up 10.8%; profit after tax Rs3.03bn, up 8.7%.
  • Basic EPS: Rs1.98 versus Rs1.90, up 4.2%. EPS grew more slowly than profit because the share base increased, including shares issued as merger consideration for Confiz.
  • Nine-month operating cash flow: Rs1.98bn versus Rs2.29bn; this is a nine-month measure, not a Q3 cash-conversion figure.

What improved

Revenue growth remained broad

The consolidated top line increased by Rs6.10bn year on year in Q3. Management’s nine-month review says all four geographic regions grew, with APAC leading the growth rate, while the Middle East and Africa remained the largest contributor to revenue and profitability, followed by North America. It also identifies banking and financial services as the largest vertical, followed by telecommunications, and says Technology and Retail/CPG recorded the strongest growth with the Confiz merger.

This is useful evidence that growth was not confined to a single geography. Management also says Pakistan remained below 15% of consolidated revenue, preserving the group’s export-oriented profile. However, the current filing does not provide a numeric Q3 segment or geographic table, so it is not possible to reproduce the exact contribution of each region or vertical to the quarter’s Rs6.10bn revenue increase.

Non-operating support reversed the operating decline

Other income moved from negative Rs200.4m in Q3 2025 to positive Rs367.0m in Q3 2026, a favorable swing of roughly Rs567m. That change more than offset the Rs259m decline in operating profit. Finance cost rose sharply to Rs195.3m from Rs80.0m, but profit before levy and taxation still increased 7.0% to Rs3.37bn.

The levy charge fell to Rs134.5m from Rs229.2m. After levy, profit before tax increased 10.8% to Rs3.23bn. Tax expense then rose to Rs200.3m from Rs127.0m, leaving profit after tax up 8.7%. The arithmetic matters: the Q3 earnings improvement did not come from stronger operating profit; it came from the combination of a large other-income recovery and a lower levy charge, partly offset by higher finance cost and tax.

Nine-month growth remained positive

For the first nine months, management reports consolidated revenue growth of 33.2%, gross-profit growth of 24.6%, operating-profit growth of 14.0% and profit-after-tax growth of 14.4%. This shows that the year-to-date result remains stronger than the standalone Q3 operating comparison. Management says organic and inorganic expansion, efficiency initiatives and cost optimization supported growth, although currency appreciation created a headwind.

What weakened / needs attention

Gross margin compressed materially

Q3 revenue rose 29.5%, but cost of revenue increased faster, leaving gross profit up only 6.6%. Gross margin contracted by 5.33 percentage points to 24.76%. Put differently, Systems generated about Rs6.10bn of additional revenue but only around Rs408m of additional gross profit. That is the clearest operating weakness in the quarter.

The filing does not disclose a Q3 bridge separating wage inflation, fuel, currency, acquisition mix, pricing or utilization. Management’s nine-month discussion says the parent company was affected by offshore wage and fuel inflation, and by currency appreciation: it cites the rupee moving from roughly Rs283 per US dollar in June 2025 to Rs277 by September 2026. It would be speculative to allocate the consolidated Q3 margin contraction precisely among those factors, but the arithmetic confirms that cost growth outpaced revenue growth.

Operating expenses absorbed the remaining gross-profit growth

Operating profit fell to Rs3.20bn from Rs3.46bn even though gross profit increased. Operating margin declined 4.78 percentage points. This suggests the group’s current growth phase still carries integration, selling, administrative or capacity costs that have not yet been fully absorbed. Management says Confiz integration synergies are building in the second half, but the quarter does not yet show positive consolidated operating leverage.

The parent company was considerably weaker

The unconsolidated result sharpens the warning. Parent-company Q3 revenue increased 19.0% to Rs13.49bn, but gross profit fell 15.7% to Rs2.85bn and operating profit dropped 30.0% to Rs1.59bn. Parent gross margin fell to 21.12% from 29.78%, while operating margin declined to 11.76% from 19.97%. Profit after tax decreased 23.3% to Rs1.53bn.

The parent’s other income recovered to Rs228.4m from negative Rs124.3m, but finance cost more than quadrupled to Rs110.1m. Management’s nine-month explanation also cites lower interest income from related parties following settlement of intercompany loans. The consolidated group is therefore growing faster and producing a better bottom-line outcome than the parent alone, but the parent result confirms that underlying delivery economics need monitoring.

Balance sheet and cash flow

At September 30, 2026, consolidated assets were approximately Rs98.86bn, up 31.0% from December 2025. Intangible assets rose about 52.0% to Rs18.23bn, contract assets increased 39.2% to Rs19.46bn, and trade debts grew 28.1% to Rs22.52bn. Short-term investments more than doubled to Rs12.55bn, while cash and bank balances fell 22.9% to Rs10.41bn.

Short-term borrowings increased 78.6% to Rs10.64bn. Equity also expanded 33.7% to Rs64.95bn, with the statement of changes in equity recording shares issued as consideration for the Confiz merger. The larger equity base explains why basic EPS grew 4.2% even though consolidated profit after tax increased 8.7%.

Nine-month operating cash flow was Rs1.98bn, down 13.5% from Rs2.29bn. Capital expenditure roughly doubled to Rs1.21bn, while purchases of short-term investments were a major use of cash. The group also increased borrowings and paid roughly Rs2.93bn in dividends. Together, these movements help explain why closing cash fell by about Rs3.09bn from the December balance.

This cash-flow evidence is cumulative for nine months. The filing does not provide a discrete Q3 cash-flow statement, so no conclusion should be drawn about quarterly cash conversion. The divergence between nine-month profit growth and lower operating cash flow nevertheless makes receivables, contract assets and working-capital discipline important monitoring points.

Strategic context and quality of growth

Management describes a healthy backlog and continued demand for data engineering, integration, applications and AI-related work across a customer base of more than 300. Confiz is said to provide access to larger North American enterprises and cross-selling opportunities, while the UK entity is intended to support European expansion. APAC momentum is supported by activity in Vietnam, Malaysia and Indonesia.

The Middle East remains strategically important. Management says geopolitical events had not affected growth at the reporting date and notes that its exposure is concentrated in banking, telecommunications and the public sector rather than tourism or real estate. It nevertheless flags potential uncertainty in Saudi Arabia. That is a balanced disclosure: current trading remained resilient, but the region’s contribution makes future project timing and spending conditions material.

The investment case in operational terms is therefore a race between scale and normalization. Systems is adding revenue, markets and capabilities, but the quarter’s lower gross and operating margins show that growth quality depends on restoring delivery economics. A successful integration outcome would be visible in gross-margin stabilization, better operating leverage and stronger cash realization—not simply another increase in revenue.

What to monitor next

  • Gross margin: whether the 5.33-point Q3 contraction begins to reverse as pricing, utilization and Confiz integration mature.
  • Parent-company economics: whether wage, fuel and currency pressure eases and the large parent margin gap narrows.
  • Other income and finance cost: Q3 profit growth relied on a favorable other-income swing while finance cost rose 144%; neither should be treated as a substitute for operating recovery.
  • Working capital: trade debts and contract assets grew materially, while nine-month operating cash flow declined.
  • Borrowings and capital allocation: short-term borrowings increased while the group funded capex, investments and dividends.
  • Geographic execution: continued APAC growth, realization of North American Confiz cross-selling, and any delay in Saudi spending.
  • Per-share outcomes: future profit growth must be judged against the enlarged post-merger share base.

Verdict

Systems Limited’s Q3 2026 result passes the evidence test but with disclosed limitations. The exact company, period, reporting basis and core earnings are verified in the official filing, and the principal earnings movements are reproducible. The main limitation is that the filing does not quantify a Q3-only revenue or margin bridge by geography, vertical, organic growth, Confiz contribution, price, volume or cost category. Accordingly, this analysis does not assign precise causal weights that the company did not disclose.

The result is best characterized as strong revenue growth with weak operating conversion. Consolidated profit still increased because non-operating support and a lower levy compensated for margin pressure. For the next result to represent a cleaner improvement, revenue growth needs to translate into stable or recovering gross margin, positive operating leverage and better cash realization.
