Verdict
AGP’s first quarter was mixed, and the distinction between the listed company and the wider group is essential. The standalone company delivered double-digit revenue growth and nearly 20% profit growth. The consolidated group, however, reported lower sales and lower total profit, even though gross margin improved and profit attributable to AGP shareholders was almost flat. The most material weakness was cash conversion: consolidated operating cash flow fell to PKR 87.7 million from PKR 1.26 billion, while short-term borrowings rose sharply. The quarter therefore combined resilient core-company execution with softer group trading and a much tighter cash profile. Official Q1 2026 report
These are results for the three months ended March 31, 2026. The consolidated accounts include AGP Limited, OBS AGP (Private) Limited and OBS Pakistan (Private) Limited. The figures are unaudited, presented in Pakistani rupees and generally rounded to the nearest thousand. The Board approved the financial results at its April 29, 2026 meeting, and the filing was transmitted to PSX on April 30, 2026. PSX result notice
The headline comparison
- Consolidated revenue was PKR 6.850 billion, versus PKR 7.160 billion in Q1 2025, a decline of 4.3%. Cost of sales fell faster, by 5.9% to PKR 2.857 billion, so gross profit declined by a smaller 3.2% to PKR 3.993 billion. Gross margin consequently improved to 58.3% from 57.6%, an increase of roughly 0.7 percentage points. Interpretation: the group sold less, but the sales mix and cost relationship were more favourable. Official Q1 2026 report
- Administrative expense rose 15.7% to PKR 246.8 million and marketing and selling expense increased 6.1% to PKR 1.834 billion. Finance cost declined 17.9% to PKR 316.4 million, partly offsetting the operating-pressure effect below gross profit. Profit before income tax and levies was PKR 1.511 billion, down 13.6%. Official Q1 2026 report
- A PKR 47.6 million levy was recorded before income tax. After that levy and PKR 494.6 million of income tax, consolidated profit after tax was PKR 968.4 million, down 8.4% from PKR 1.057 billion. Profit attributable to owners of AGP Limited edged up 0.6% to PKR 857.2 million, while the non-controlling interest share fell to PKR 111.2 million from PKR 204.2 million. EPS rose 0.7% to PKR 3.06 from PKR 3.04 because EPS follows profit attributable to the parent, not total group profit. Official Q1 2026 report
- Standalone revenue increased 11.9% to PKR 5.387 billion from PKR 4.814 billion. Standalone profit after tax rose 19.6% to PKR 556.9 million from PKR 465.7 million, and EPS advanced to PKR 1.99 from PKR 1.66. Interpretation: AGP Limited itself expanded, while the consolidation of subsidiary performance produced a weaker group-level top line and total profit comparison. Official Q1 2026 report
Why standalone growth and consolidated contraction can coexist
Management attributed the standalone company’s 12% revenue growth to export sales to Afghanistan, domestic sales of key brands and supplies to group companies. The notes quantify the export change: Afghanistan sales rose to PKR 1.243 billion from PKR 506.2 million, while Sri Lanka contributed only PKR 1.9 million. Sales to subsidiary OBS AGP were PKR 876.3 million, compared with PKR 976.7 million. These are not independent retail-demand measures; group-company sales disappear on consolidation. Official Q1 2026 report
The consolidated customer disclosure helps explain why group revenue still fell. Sales to Muller & Phipps Pakistan were PKR 4.899 billion, down from PKR 6.087 billion, while Afghanistan sales more than doubled. AlphaGen’s inference is that export growth and the standalone company’s internal supplies could not fully offset weaker consolidated domestic-distribution revenue. The report does not disclose product-level volumes, so it would be unsafe to attribute the decline to unit demand, price or any specific brand mix beyond management’s stated drivers. Official Q1 2026 report
AGP reports one operating segment: manufacture and sale of pharmaceutical products. Production assets are in Pakistan, while the group combines manufactured and traded products. This limits formal segment analysis. The economically useful split is therefore between standalone and consolidated accounts, manufactured and traded cost pools, domestic distribution and exports, and parent versus non-controlling shareholders. Margins, operating costs and the below-the-line bridge
The consolidated gross-margin improvement is notable because it occurred during a revenue decline. Manufactured cost of sales increased, while the cost assigned to traded finished goods fell to PKR 1.117 billion from PKR 1.708 billion. Raw and packing material consumed rose to PKR 748.3 million from PKR 579.8 million, and fuel, gas and electricity increased to PKR 108.5 million from PKR 85.1 million. AlphaGen’s inference is that the shift between manufactured and traded products helped the margin, but the filing does not provide enough product-level data to isolate price, volume and mix precisely. Official Q1 2026 report
Operating expenses absorbed that gross-margin benefit. Marketing and selling cost reached PKR 1.834 billion; within it, freight, handling and transportation rose to PKR 118.7 million from PKR 34.3 million, while meeting and conference expense and depreciation also increased. Administrative cost rose faster than sales. These lines matter because a pharmaceutical company must continue supporting distribution, field-force activity, registrations and brand promotion even when quarterly revenue is softer. Official Q1 2026 report
Finance cost fell by PKR 68.9 million year on year, which provided an important cushion. The balance sheet shows total secured long-term financing fell to PKR 7.095 billion from PKR 7.725 billion at December 2025 after PKR 860.0 million of repayments during the quarter. Yet short-term borrowings rose to PKR 2.588 billion. The quarter therefore shows debt migrating toward working-capital funding even as scheduled long-term debt was reduced. Official Q1 2026 report
The tax bridge also needs care. The group reported PKR 1.511 billion before income tax and levies, then a PKR 47.6 million levy and PKR 494.6 million income-tax charge. The combined burden was lower than the prior-year tax charge, softening the decline in after-tax profit. This was not enough to prevent total group profit from falling, but it helped parent-attributable profit and EPS remain broadly stable. Official Q1 2026 report
Balance sheet and cash conversion
At March 31, 2026, consolidated total assets were PKR 32.582 billion, up 1.7% from December 2025. Stock-in-trade increased 4.4% to PKR 4.648 billion and trade debts rose 15.4% to PKR 2.884 billion. Cash and bank balances fell 20.5% to PKR 878.2 million. The asset mix remained heavily influenced by PKR 17.494 billion of intangibles, which largely reflects the group’s acquired pharmaceutical rights and brands. Official Q1 2026 report
Total equity increased 5.7% to PKR 18.087 billion as quarterly profit was retained. Long-term financing decreased, but short-term borrowings increased 41.0% to PKR 2.588 billion. Trade and other payables fell to PKR 2.912 billion from PKR 3.596 billion. The combination of higher receivables and inventory, lower supplier funding and heavier short-term borrowing is the central balance-sheet signal from this quarter. Official Q1 2026 report
Consolidated cash generated from operations before finance cost and tax was PKR 593.0 million, down from PKR 1.595 billion. Operating cash flow after finance cost, tax and long-term loans and deposits was only PKR 87.7 million, versus PKR 1.260 billion a year earlier. Working-capital movements consumed PKR 692.4 million, and the largest swing came from trade and other payables: a PKR 762.3 million outflow in Q1 2026 compared with a PKR 125.3 million inflow in Q1 2025. Official Q1 2026 report
Capital expenditure was PKR 176.9 million, lower than PKR 333.1 million a year earlier. After investing and PKR 900.2 million of financing outflows, cash and cash equivalents ended at negative PKR 1.788 billion because the cash-flow definition nets short-term borrowings against available cash. This does not mean bank balances were negative; it means short-term borrowing materially exceeded cash available under that definition. Official Q1 2026 report
Corporate actions and operating developments
The April 29 board meeting declared no cash dividend, bonus issue, rights issue or other entitlement for the quarter. The board also authorized management to evaluate strategic growth opportunities and approved commercial arrangements involving Xanax and the Olitumab product range. These approvals indicate continued portfolio expansion, but the result notice does not quantify expected revenue, investment or timing, so they should not be built into a quarterly earnings forecast. A subsequent corporate briefing described a proposed group restructuring involving the merger of OBS AGP and OBS Pakistan, along with demerged undertakings of OBS Pharma and Aitkenstuart Pakistan, into AGP. Management’s presentation showed a potential post-scheme share count of about 388.7 million versus 280.0 million currently and presented pro-forma benefits. Those numbers are management scenarios, not reported Q1 results. AGP corporate briefing
Shareholders approved the scheme at the June 29, 2026 extraordinary general meeting, subject to sanction by the High Court of Sindh and any modifications or conditions it imposes. Readers should therefore monitor court sanction, legal completion, final exchange mechanics, acquired debt, integration costs and the resulting per-share earnings base. EOGM resolution

What to monitor next
The first checkpoint is consolidated revenue through Muller & Phipps and whether export momentum remains strong enough to offset softer domestic distribution. The second is gross margin: a repeat of the 58.3% level would be more persuasive if it comes with stable revenue and disciplined marketing cost. The third is the cash cycle—trade receivables, inventory, payables and short-term borrowing should be read together, because profit growth without cash conversion increases funding dependence.
The fourth checkpoint is the gap between total consolidated profit and profit attributable to AGP shareholders. Changes in the non-controlling interest share can move EPS differently from total profit. The fifth is the financing mix: lower long-term debt is positive only if it is not replaced by more expensive or less stable short-term funding. Finally, the proposed group restructuring should be assessed on final legal terms, incremental debt, integration execution and the enlarged share count rather than on pro-forma headline growth alone.
The quarter’s cleanest reading is therefore not simply “profit down” or “EPS up.” Standalone AGP grew strongly, consolidated mix supported gross margin, finance cost improved, and parent EPS held. Against that, group sales contracted and cash conversion deteriorated materially. A durable improvement would require the group to combine the standalone company’s sales momentum with recovering domestic distribution and lower working-capital dependence.
